These Terms of Use (“Terms”) govern your access to and use of aicapturelab.com and any services, features, or content provided by Pantaleone Digital Services LLC (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must refrain from using our Services.

Acceptance and Capacity

By accessing the Services, you confirm you are at least 18 years old or have the legal capacity to enter into this agreement. Your use constitutes unconditional acceptance of these Terms. We reserve the right to update these Terms at our discretion; continued use signifies agreement to revised Terms.

Scope of Services

Pantaleone Digital Services LLC provides AI Capture Lab, a platform for AI-generated product photography — including uploading product photos, choosing scenes and styles, running generations, and reviewing shoot history. We reserve the absolute right to modify, suspend, or discontinue any aspect of the Services at any time, without notice, for any reason. Free tiers, free shoots, free models, and promotional credits may be changed, limited, or revoked at our sole discretion.

User Obligations and Restrictions

As a user, you agree to:

  • Use Services solely for lawful purposes.
  • Provide accurate and complete information.
  • Safeguard account credentials and report unauthorized access.
  • Refrain from hacking, reverse engineering, or transmitting malware.

We may, at our sole discretion, terminate access immediately for any breach or for any reason deemed appropriate.

Your Content: Uploads and Generations

  • You warrant that you own or have all rights necessary to upload each product photo and to use it with the Services.
  • You grant us a worldwide, royalty-free license to host, store, process, reproduce, and display your uploads and generations solely to operate and improve the Services.
  • AI-generated images are provided “as is.” We make no representation that a generation is unique, original, or free of third-party rights, or that it will not resemble existing works. You are solely responsible for clearing any trademarks, likenesses, or other rights before any commercial use of generations.
  • Generations may vary in quality and fidelity. Credits are consumed when a generation completes successfully, regardless of your subjective satisfaction with the result. Failed generations are refunded automatically.

Intellectual Property and AI Restrictions

All content, technology, and materials provided by us — including text, graphics, scenes, software, and site design — are the exclusive property of Pantaleone Digital Services LLC. You are prohibited from copying, distributing, or creating derivative works without express prior written consent. Use of our content for training artificial intelligence models or machine learning algorithms is strictly prohibited without prior written permission. Unauthorized use of our intellectual property is strictly forbidden and may result in legal action.

Payment and Fees

You agree to pay all fees as outlined on our websites, including credit packs, subscriptions, and usage-based charges for access to the Services. We may adjust pricing at our sole discretion. Non-payment may lead to immediate suspension of access and the pursuit of all available legal remedies.

Credits and No Returns Policy

  • All sales are final. We do not accept returns, refunds, or exchanges for any credit packs, subscriptions, or services. By completing a purchase, you acknowledge and agree that all transactions are final and non-refundable.
  • Credits have no cash value, are non-transferable, and may not be redeemed for cash.
  • Subscription credits are granted per billing cycle, do not roll over except as expressly stated for your plan, and stop when a subscription lapses or is cancelled. Cancellation takes effect at the end of the current billing period; no prorated refunds are issued.

Delivery

  • Instant Delivery: Credits, subscriptions, and digital entitlements are provisioned electronically upon successful payment confirmation.
  • There is no physical shipping required for digital products.
  • Access is provided electronically through your account.

We reserve the right to modify our delivery methods at any time.

Absolute Limitation of Liability

To the fullest extent permitted by law, Pantaleone Digital Services LLC, its members, and officers shall not be liable for any direct, indirect, incidental, or consequential damages. Our aggregate liability shall not exceed the total amount paid to us in the six (6) months prior to the claim. Services are provided on an “as is” and “as available” basis without any warranties.

Indemnification

You agree to indemnify, defend, and hold harmless Pantaleone Digital Services LLC and its officers from any claims, damages, or expenses (including attorneys' fees) arising from your use of the Services, your uploads or use of generations (including any third-party intellectual property claims), or violation of these Terms. This obligation survives termination.

Termination of Access

We reserve the unrestricted right to terminate your access at any time, with or without cause or notice. Upon termination, your rights to use the Services cease immediately, and we may delete your data without liability. Unused credits are forfeited upon termination and are non-refundable.

Governing Law and Arbitration

These Terms are governed by the laws of the State of Wyoming. Any disputes shall be resolved exclusively through binding arbitration in Cheyenne, Wyoming. You waive any right to pursue claims through class actions or jury trials.
